1. Agreement to these Terms

These Terms and Conditions govern access to and use of miriGFX, a browser-based graphics creation and playout service provided by Miri Technologies, Inc. (Miri, we, us, or our). By creating an account, accepting an invitation, or using the service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.

If you use miriGFX for an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the service.

2. The service

miriGFX lets users create, import, store, manage, and play out HTML5 broadcast graphics through browser-based tools and screen-specific URLs. Features may include templates, live data, scoreboards, APIs, camera-related tools, third-party integrations, and prerelease capabilities.

You are responsible for evaluating whether the service is suitable for your production, maintaining backup workflows, and testing graphics, data, devices, network connections, and outputs before going live.

3. Accounts and organizations

You must provide accurate information, protect account credentials, and promptly notify us of suspected unauthorized access. Organization owners and administrators control memberships, roles, assets, API keys, screen links, and settings. You are responsible for activity by users, devices, and integrations authorized through your organization.

You may not share credentials improperly, bypass access controls, impersonate another person, or use the service in violation of law or third-party rights.

4. Your content

You retain ownership of graphics, logos, text, data, files, and other content you submit. You grant Miri a limited, worldwide, non-exclusive license to host, copy, process, transmit, display, and adapt that content only as needed to provide, secure, support, and improve the service.

You represent that you have all rights and permissions needed for your content and its use in broadcasts. You are responsible for releases, licenses, trademarks, publicity rights, music, images, statistics, and other materials you use.

5. Third-party services

The service may connect with Canva, payment processors, email providers, browsers, A/V products, data feeds, and other third-party services. Their terms and privacy practices apply to their services. Miri does not control and is not responsible for third-party availability, changes, content, security, or performance.

Canva connections are authorized by each user. miriGFX accesses only the permissions the user grants and imports selected exported pages into the user’s organization.

6. Plans, billing, renewals, and refunds

Paid plans, included channels, storage, billing cadence, taxes, and renewal dates are shown when ordered or in account records. Unless an order states otherwise, subscriptions renew for the same term until canceled before renewal. You authorize applicable charges and are responsible for taxes other than taxes on Miri’s income.

Fees already paid are non-refundable except where required by law or expressly stated in an order. We may change future pricing or plan terms with notice; changes apply at renewal unless a different effective date is agreed. Late or failed payment may result in suspension or plan limits.

7. Acceptable use

Do not use miriGFX to violate law, infringe rights, distribute malware, harass others, transmit unlawful or deceptive content, interfere with the service, probe security, exceed documented rate limits, resell access without permission, or use screen links or API credentials without authorization.

We may investigate suspected misuse and suspend or restrict access where reasonably necessary to protect users, third parties, or the service.

9. Availability and matters outside our control

We work to provide a reliable service, but uninterrupted or error-free operation is not guaranteed. Live production depends on systems outside Miri’s control, including your internet connection, browser, computer resources, cameras, capture devices, A/V hardware and software, local networks, power, third-party platforms, data sources, and operator actions.

Miri is not responsible for delays, dropped connections, failed playback, inaccurate OCR or live data, device incompatibility, third-party outages, force majeure events, or lost production opportunities caused by circumstances outside our reasonable control. Maintain appropriate rehearsals, monitoring, backups, and failover plans.

10. Dev and Beta features

Dev and Beta features are prerelease, may change or be removed without notice, and may be less reliable than public features. They are provided for evaluation, without service commitments, and should not be used as the sole system for mission-critical productions.

11. Miri intellectual property and feedback

Miri and its licensors own the service, software, interface, documentation, trademarks, and all related intellectual property other than your content. No rights are granted except the limited right to use the service under these Terms.

If you provide feedback, you grant Miri a perpetual, worldwide, royalty-free right to use it without restriction or compensation.

12. Confidentiality

Each party will use reasonable care to protect nonpublic information disclosed by the other and use it only for the relationship. This does not cover information that is public through no breach, already known without restriction, independently developed, or rightfully received from another source. Disclosure required by law is permitted with notice when legally allowed.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE. MIRI DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING. MIRI DOES NOT WARRANT THAT OUTPUT, DATA, OCR, INTEGRATIONS, OR THIRD-PARTY SERVICES WILL BE ACCURATE, AVAILABLE, OR ERROR-FREE.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIRI AND ITS OFFICERS, EMPLOYEES, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS; OR PRODUCTION INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

MIRI’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS OR THE AMOUNTS PAID TO MIRI FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so they apply only to the extent permitted by law.

15. Indemnification

You will defend, indemnify, and hold harmless Miri and its affiliates, officers, employees, and suppliers from third-party claims, damages, liabilities, and reasonable costs arising from your content, your broadcasts, your misuse of the service, or your violation of these Terms or another party’s rights.

16. Suspension and termination

You may stop using the service at any time and organization owners may delete an organization through Settings. We may suspend or terminate access for material breach, security risk, nonpayment, unlawful use, or to comply with law. Where practical, we will provide notice and an opportunity to cure.

On termination, your right to use the service ends. Provisions that by nature should survive—including ownership, disclaimers, liability limits, indemnification, and disputes—will survive.

17. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules. The state and federal courts located in Berks County, Pennsylvania have exclusive jurisdiction, and each party consents to venue there. Nothing prevents either party from seeking urgent injunctive relief for misuse of intellectual property, confidential information, or access credentials.

18. Changes to these Terms

We may update these Terms to reflect service, legal, or business changes. We will post the revised version with its effective date and, for material changes, provide reasonable notice or request renewed acceptance. Continued use after the effective date constitutes acceptance where permitted by law.
